Video Problem: works and freezes regularly

Ive got a 5770 I bought not long ago, and recently tried a couple of older games on it. Itll run great for a few minutes, tops, then freeze, black out, and go back to the game after a minute or two.

I have: updated my system drivers, OS (win 7, 64), updated my video drivers
check temps of gpu/cpu, dont see anything wrong. I have also uninstalled/cleaned old video drivers and tried much older drivers. Same issue, performance is fine when it works, but it freezes a lot.

games ive tried: oblivion, call of duty: world at war. nothing new.

system specs:
phenom II x4 810 OCed to 3.1ghz
6 gb ddr3
corsair 650watt psu (worked great with a 4870 a while back)
ati 5770

temps look to be within range, the OCed cpu has been stable for months running VMs and general tasks

event viewer showed:
Display driver amdkmdap stopped responding and has successfully recovered.

I googled that, found some suggestions about power, temp, and drivers (hence the driver rollbacks)

still giving me issues. anyone have any other suggestions? even something that should be obvious, i havent dealt with something so stubborn in a while so maybe ive forgotten something

If it's still within the return policy you could try exchanging it. Otherwise, it should have a manufacturer's warranty. As long as you did the steps you mentioned correctly and Event Viewer is showing a display driver issue, then you might consider that. Also, have you tried reseating the video card into a different PCIe slot?

Also, you could monitor CPU temps and make sure that the overclock isn't causing problems when stressed.
