Very strange WinXP problem

I have my 2 systems that I use and one of these began to have odd problems.

System specs:

Amd 64 3000 on a gigabyte K8 Trition motherboard
video card is a 9800 ATI pro
1gb of memory in that 1 stick of 512mb ddr and 2 matched sticks 256mb
2 120gb western digital drives non raid
1 dvd-rw NEC 3550A
Windows XP Professional

Ok the problem is that it recently began to reboot randomly making think something was loose or that I had a pesky virus. I use Norton 2006 so I ran a full scan and then an online scan. When I rebooted however I got this error:

Windows NT could not start because the below file is missing or corrupt:

X:\WINNT\System32\HAL.dll

Well I began to research on the web and found this site:

http://www.short-media.com/printcontent.php?print=r&id=313

I ended up formating and rebooting to a fresh copy of windows and I thought I had it licked. But when I pulled out the windows XP cd and put in the gigbyte CD and rebooted I once more saw:

Windows NT could not start because the below file is missing or corrupt:

X:\WINNT\System32\HAL.dll

I put the windows XP CD back in with the intention of doing a repair but missed the chance to "Hit any key to boot from CD" only to see the computer reach windows.

SO here is the strange problem I have. If I leave the Windows XP cd in the drive the computer will boot just fine. Take the windows XP CD out however and you get:

Windows NT could not start because the below file is missing or corrupt:

X:\WINNT\System32\HAL.dll

The system is not overclocked, and I have used artic silver on the cpu. Temps are 32C no load, 38C at full load when gaming or surfing.

Can anyone tell me what could be causing this and how to fix it? Should I RMA anything back to New Egg???
