Question upgrading server questions

Greetings,

my current server is as follows:
G4560 on a H110M-A/M.2, 4 gb of ram, 3 pcie nics, two sata hdds, one 7.5K and the other 5.4K
several usb devs are connected to it. os is linux the case is Antec VSK2000-U3 Black with a 300w psu.
the system is running for two years give or take

the server runs vm which gets all the nics in pt (4 pcie, 1 usb).
I want to add another vm to run libre elec, problem is, I'm unable get the intel igb and audio passed into it.
so, I've thought of taking out the 7.5 hdd, one nic (in the gpu slot), get an GV-N1030D5-2GL (I assume that I can connect the gpu will the remaining nics connected), bump the cpu to i5-7500 and the ram ro 8GB.
and then pass the NVIDIA device to the vm.
questions are:
  1. will the psu be enough?
  2. can I expect proper 4K playback with this gnu inside the vm gou wise?
