Upgrading questions. (Moboard\processor)

I'm looking to upgrade my motherboard and processor right now.

I have:

RAM: 2x2GB sticks of G.SKILL DDR2 800 (PC2 6400)[/URL]
GIGABYTE GA-G31M-ES2L LGA 775 Intel G31 Micro ATX Intel Motherboard

Along with an Intel Dual Core Processor that runs at 1.86GHz at the moment.

I was looking to upgrade my processor and Moboard to:

ASUS M4N72-E AM3/AM2+/AM2 NVIDIA nForce 750a SLI ATX AMD Motherboard

and

AMD Phenom II X2 555 Callisto 3.2GHz

I'm more than certain my power supply can handle these upgrades and I'm not looking to upgrade my GPU.

So, my question is, for a budget around ~$200 would this be a good decision? I would like to keep my DDR2 RAM and possibly buy more in the future, as well.

I'm sorry if this is in the wrong part of the forums, I wasn't really sure where to post it. If it is, could a mod or admin please move it to the appropriate place?

You might also look for some reviews for the asus p5n-d sli board (only $84.99 after rebate with $2.99 shipping at newegg. That board should overclock your current cpu better than any g31. Frys as has some great combos again this week, if you live near one.
