Upgrading Processor/Ram, will this work or be worth it?

Built this rig two years ago, and I have some extra money so I thinking about upgrading the Ram and Processor in it. This build as it is now

AMD Venice 1.8ghz 939
MSI Neo-4 Mobo
MSI RX800XL
Antec Smartpower 400w PS
Corsair VS 1GB (2x512) 164 DDR 400 (PC 3200)
Seagate 200 GB HDD
Windows XP SP2

So basically I want to upgrade my processor to a

AMD Athlon 64 X2 4200+ Toledo 2.2GHz 2 x 512KB L2 Cache Socket 939 Processor

Ram:

G.SKILL 2GB (2 x 1GB) 184-Pin DDR SDRAM DDR 400 (PC 3200) Dual Channel Kit Desktop Memory Model F1-3200PHU2-2GBNS


Couple questions:

1) I am running the latest bios for my mobo, is there anything I should do or watch out for when I upgrade?
2) Would it better to just add two more 512 sticks of ram instead of getting two 2 gig sticks?
3) Is it even worth it? Should I just save my money?

Any response is highly appreciated!!

what do you use the system for? How much will this upgrade push off a full overhaul? If you need the speed now going to a dual core will help and if you multitask it will be dramatic but for single core apps it wont be very different and the extra gig will be useful if you mulitask or for certain games but if you only run 1 app at a time or don't use anything two intensive then 1gig is probably still ok (check task manager see how much free ram you have right now, or during a usual load, if its very little then you need to upgrade (or if the paging file is really large), if you have a lot of free ram then you don't need more).

What I would do is upgrade the ram to 3gb (most motherboards can only use 3.2gb, not 4gb). 2x512 + 2x1024 = 3gb.

A processor upgrade probably won't do much unless you play games. Do you play games? 3D design? Intense video/audio production? If not, there's no real benefit in getting a new processor. Save your money.
