Upgrading processor problem

My PC has a Shuttle AV45GTR motherboard which can handle a P4 processor with either a 400MHz or 533 MHz FSB. I had a 2.0 P4 in for about 2 years and decided to upgrade to a 3.06 533MHz. Now it will post but locks up just before the ?starting Windows? screen comes up (Windows XP Pro SP1). I tried booting to a Windows 98 startup floppy, and that worked.

Any ideas? Could this be a BIOS issue even though I can boot to a floppy? (I have the latest BIOS version, but this is an older board and there have been no updates since the end of 2002.)

Before I changed the processor I was having no problems.
 
1st thing that comes to mind, is what type of memory are ya runnin?
check memory settings....need pc2700 or higher to run @ 533fsb, if your using pc2100 then ya need to adjust memory to run @ 400fsb...that would be a good place to start.
