Right now i got the following:
BIOSTAR m7vkd
1.1 T-Bird
512SDRAM (2 sticks of generic and 1 stick of Crucial)
Maxtor 40gig 7200rpm
TNT1 AGP [ Pure owange :) ]
PioneerDVD rom
PlexWriter 12/10/32A, SB Live!
300w Sparkle PSU

Im saving the DVD rom, CDrw drive, sound card,hard drive and the powersupply. Im kinda worried that the 300watt psu might be not enough.

Well, if you can get the C1 steppin of the Intel P4 it will probably give you a much greater OC than the AMD.

As for your power supply, Sparkle is a great brand, and you should have no problems at all running your new gear. Just check that the +3.3 and +5 rails add up to around 200W, and you should be fine.

What I would do to cut costs is pop in a XP 2100+ ("temporarily") as youll save almost $200 for little performance drop. Then when the hammer comes out, you can pick up an XP for dirt cheap or a Barton.
