Upgrading my CPU, MB and Memory

Okay guys and gals. I'm looking at doing a minor upgrade (MB, CPU and RAM) and need your thoughts. I'm not going with the new chipset from intel because of the video card replacement. I just don't think I need to dump another $250-300 to upgrade. I'm mainly upgrading so that my existing hardware will be used for my server/video editing machine.

I'd like to keep the price below $500 for the three items.

INTEL 775 Socket & 875P Chipset

MEMORY
I need 1 Gig of Dual Channel RAM. I think no matter what setup I go with this ram will be used for any of them. I don't want to OC extreme, but I would like to see some overclocking and don't want the RAM to be the factor that would cause me not to.

Keep in mind these variables
-Minimal Overclocking
-Primary Gaming Rig
-Somewhat upgradable (realize PCI-X is taking over)
-Parallel ATA Drives
-AGP Video Card

OR would you all recommend waiting to get the video card with either a Nforce4 or 925e Chipset system?

For Curiosity if I had the extra $200 for a midrange PCI-X video card what would you recommend for the system then?

I like the nforce3 board by epox with the athlon 64 3000 (both about $255 at mwave as a bundle). Newegg also stocks them for a few dollars more.

Either the AMD s939 or s754 with the nforce3 chipset. Only get the s939 setup if you want to be able to upgrade your CPU in the future without having to replace the motherboard.

Its not worth getting a PCIE (not pci-x, thats a different thing) graphics card now, they are no faster and just add to the cost of your system.
