Upgrading CPU But Keeping Mobo <-- Need to Reformat?

I plan to upgrade my 2000xp palomino to a 2400xp tbred.
My mobo supports up to 2600 so I plan to keep my current mobo and just replace the cpu.

Would everything work fine after I replace the cpu?
Or would I need to reformat?

Windows OSes are usually fine with CPU changes, no format required.
