I am currently using:

MSI P6N SLI Motherboard
2GB Geil DDR2-800 RAM
EVGA Geforce 9800 GT
E4400 O.C.'d to 3.0

Are these upgrades going to be worth it for the next few years if I decide to O.C. the E8400? I'm mainly looking to make all my games (WoW, HL, CoD) Lag free in all environments. My budget is around $300 (getting married in May, so every penny otherwise will go towards that!) I will be using my old case, psu, dvd drive, video card, hard drive, sound card, 22" HP monitor. I'm currently running Windows XP but may upgrade to Vista (even though I totally hate it at work)

Also, which motherboard in that list seems like a better idea? Or is there one you can recommend that is around the same price but is more stable and has more options?

Edit: added better links

Please don't make us log in to Newegg just to look at your list of parts.

How far are you planning to overclock the E8400 and how much of a jump are you expecting over your current chip?

Current chip will only really let me get to 2.66 with stock cooling. Otherwise, it is really unstable.

I guess I'd have to see where that cpu cooler can take me really. I was thinking 3.66 min, maybe a bit more.

Which GByte board would you suggest?

Are either of those Asus boards going to be stable and allow me to upgrade even more in the future?

What're you planning to upgrade in the future? It's the end of the line for Socket 775, so if you're planning to drop in yet another CPU in the future I question the wisdom of an E8400 right now.

I suppose what I'm saying is that regardless what Socket 775 motherboard you aren't going to have a ton of future upgrade potential.

That AC cooler is a pretty poor choice these days, when the Sunbeam CCF and Xigmatek are both under $40 (under $30 with rebate) and perform drastically better

Unless you OC to the extreme, the PC2-6400 is fine.
A 3.6GHz OC from an E8400 should work out well for you.
You could drop down to an E7300 and try for 4GHz. But that may be pushing it a bit.
3.33GHz out of an E7300 should be easy.
