Upgraded budget PC components for less than $300?

I am looking at upgrading my Dads old PC to newer components.

CPU
Memory
Mobo
PSU

Anyone have any recommendations to stick around the $300 range? I would like to get at least 8GB of RAM. He is not a gamer but does like to watch HD videos. Other than that, he spends his time surfing the net and email.
 
Motherboard ATX or mATX?

Intel Biostar TZ77MXE mATX $110 motherboard, I3 2100 $120 (LOOK FOR $110 on sale, recently got a 2120 for that, Corsair CX430 $45 (last day $5 off) $20 MIR,
Totals $265 so G'Skill value ram is $40 for $305 or G'Skill Ripjaws are 1600 cas9 AT $47 without discounts for $12 over
Biostar TZ77B is $80.

AMD Asrock 970 Extreme3 motherboard is on sale for $80, FX-4100 is on sale for $100, $45 PSU, is 225, $47 memory = $272
