Upgrade with a Full Retail Version?

I currently have a recently installed, clean W2K setup that I'd like to upgrade rather than go through a clean install. Can I use a full retail version of XP Pro to upgrade, or will I need to do another full re-installation?
 
Sure you can upgrade W2k.

When you put the XP CD in, if autorun is enabled (and it is by default), it will ask you 2 questions.

1) Do you want to upgrade your version of Windows to this newer version?

2) Do you want to install a fresh copy of this newer version of Windows?
