Upgrade..Will I need to format and reinstall windows?

I am planning on upgrading my motherboard,CPU and memory only. I currently have an Epox (I believe) motherboard with an AMD XP1800 1.5Ghz and I want to upgrade to a new Asus motherboard with a 3.0GHz P4 800fsb. my question is after changing this hardware out what is the chance Windows(98SE) will boot up with no problems? Will this much hardware change cause problems? Or do I just need to back-up all my stuff and just do a clean install? Im sure the clean install is the better option but currently everything works just fine on the set-up I have so I hate to do a complete re-install unless its a must.

Chances of a complete success without reinstall are somewhere between negligible and nil IMHO.

If you were using XP, I'd say just boot up from the XP CD and choose the repair option. But you're not. :(
