Upgrade or no?

I got in on the Retail Access deal with the A64 3200+ & the K8V SE motherboard. (See "My Rig" for details)
Now I have the opportunity to get in on the RetailEdge program for the P4 550 & the Intel D915PBL motherboard.
My question is, is it worth it to upgrade or is my setup just as good? I know if I get in on the Intel deal, i'll have to get a different video card & different memory. I also heard one has to have a special case, but I don't know about that.
Comments? Suggestions?

your crazy if you don`t get this intel bundle. even if you end up selling it on ebay. you can easily double your money. # 1. it does not require a "special case".. the board is an ATX form factor. it does require DDR2 system memory. it also requires a pci express video card. I am going to sell the board on ebay, then get a different board for my setup. for $ 200.00 you get a 3.4E, a main board selling for $150.00 on new egg and a licensed copy of XP PRO. What are you waiting for?
 
I was more curious as to whether it would be a significant upgrade to what I have or not. As far as the case issue, I read that one would need the ones with the "thermally advantaged chasis on the side of the case it has that black tube comming out the vent" whatever that means.
