upgrade options E2140

I have a GIGABYTE GA-P35-DS3L LGA 775 w/ a E2140 processor. Have a 8800GT in it. It's old, but now i want to upgrade. It is still running XP. Should I ditch it all together or upgrade this?

I was thinking:
E8400 Wolfdale 3.0GHz
Windows 7
EVGA 550GTX

I want to play crisis 2 or blackops decently. Any input? Or is this build 3 years too late?

What's your budget?

I don't know how much an E8400 would cost you (maybe you can get it used for cheap), but overclock it, and it's still a decent CPU for gaming.

And how much ram do you have? Hopefully, you already have 4GB.

$500. 8400's on newegg are around $160-170. Just want to run some Crysis 1, blackops, SC2.

^^ Too much for a Core2Duo (try CraigsList, or the FST forum here?). At that price, the step up to SB/mobo/RAM makes sense (as Lulu's example shows).

Win7 + graphics card are recommended purchases in either case, so these can be subtracted from the equation.
