I have my E5200 o/c to 3.2ghz. If I go any further, I get a "BOOT DISK" not found error.
I have my ATI 4770 running at stock speed.

I want better framerate in MOH and I anticipate the new Need For Speed.

Budget is ~$150.

Would I be better served upgrading the processor ( E8400 ?) or a newer video card (5750?) to improve my game framerate.

Graphics, but a processor upgrade might be something you want to consider when Intel's "Sandy Bridge" comes around in Q1 2011

I have an e5200 oced to 3.4 with a 5850 from a 4850 512 meg @ 1920x1200 rez. The cpu is fine but if I was still using the 4850 I would opt for either the 460 1 gig or the 6850 slightly more than 150 but I think well worth it. Looking at techpowerup....the 5750 is only around 2 fps faster than your current 4770 in say crysis so I would say definately better video card than the 57xx series in my opinion coming from your 4770.

Not sure what NFS will need? Tomshardware had a good article showing current fast vid cards with slower speeds and different # of cores and the differences.

Good Luck

Yea get a new 6000 series card or a GTX4XX card.

You can always carry the card over to a new system.

Seems like it's unanimous that my GPU is the bottleneck to more FPS.

Thanks all for suggestions; the 460 or maybe the new 68xx sounds like the ticket.
