Can I upgrade from Vista Home Prem to 7 Professional for the 99$ upgrade kit or are those two versions incompatible?

Yes, although you'll have to pay. The freebies are only for people who purchase laptops from specific vendors since the start of July.

I want to say yes, but it's not something I'm 100% sure of. Microsoft's policy in the past has been that you can upgrade to equal or higher versions, you just can't upgrade to a lower version.
