Upgradd Advice from the Experts?

How does this upgrade sound (considering a limited budget of approx $350)


Current system:
K6-3 400,
RAM 2x128mb PC (Crucial,PC 133 Cas2)
M/B Epox
Video Card: TNT2 Ultra (occassional gamer)
Hard Drive: Maxtor 15gig, (8 gig available) (not a serious gamer obviously)

Proposed
M/B: IWill KK266 or KK266-R (which one?)
1.2ghz Thunderbird (266)
Taisol CGK760092 heatsink
same RAM
New Power Supply (any suggestions, brand? 300W or 350M?)
Hard Drive (added later)
Video Card (Kyro II or Gefore2 Pro, added later)

Want Raid or not?

I think IWILL stopped making the kk-266 (but still makes the kk-266R) or what is what their website leads me to believe. I could be wrong.

If you're going to OC...then get a good PSU...like a 400 + W. Enermax, Antec, and sparkle all have good ones.
