Two soundcards installed in Device Manager - "working fine" YET>>No audio devices available ... Windows XP

Help I hate being stuck...

p4p800 deluxe - Intel Soundmax and TB Santa Cruz

the soundmax was installed properly but I could not set it as an audio device in the sounds settings panel -
The system was stuck using a modem audio port.. and no other options.

I uninstalled the modem from Phone and Modem options
Then there were zero audio devices to pick from

So... I install a TB Santa Cruz.. - install worked just fine

Still no audio devices to choose from

Then I ran sfc /scannow - no help
Then I did a "Repair Installation" no help

I am stuck ... . I am going to try one more thing right now.. But if you have any ideas please let me know. BTW, I know it is not the motherboard.. I dual boot on this machine and everything works when I boot into the other operating system

Since it wasn't mentioned, I'll ask the obvious.

All drivers and necessary windows updates installed?
SoundMax disabled in BIOS w/ SCTB installed or enabled wo/ SCTB installed?
IRQ(s) assigned to sound device?
