Trouble overclocking

ok so here is my rig:
Case: Antec 900
Motherboard: Gigabyte GA-P35-DS3L
CPU: E8400 currently at stock.
Cooler: TRUE 120 Noctua NF-P12 1300 (takes up about half of my damn case...SWISH)
Fan Controller: Scythe Kaze Master - controlling
3xScythe Slip Stream 1900's and the fan on my memory
RAM: Corsair Dominator 4gb (2x2) 1066 8500C5DF
Vid Card: EVGA 8800GTS KO 512 g92
Audio: Creative Fatality Platinum
Sony HTIB 6.1 POS 1000W, fun to have but now I want something legit like some B&W's :)
Hard Drive: Seagate 7200.11 750gb + Seagate 7200.10 400gb
Keyboard: Razer Tarantula - bought that sucker for 18.95 from best buy, i wish i was smart enough to buy them all and sell them on ebay, or hand out to my friends
Mouse Razer Lachesis ( usually run around 2000dpi and 3500 if i snipe) on a Razer Exactmat - exactmat is amazing, i know its just a mouse pad but damnit i love it!
Power Supply: PC power and cooling 610
Monitor: Samsung 19 W + Acer 19 W

Vista Ultimate x64

My friend has essentailly the same setup and hes running smooth at 3.5ghz. I am afraid I have a bad chip. I know little about OCing and I was wondering if you had any suggestions about what to do.

As long as it runs at stock, you can't really claim it's a bad chip imo; I guess you could say it's bad for OCing. I'm guessing you're going to need to go into detail with what your settings are for your OC for anybody to help you. I'm far from an expert in OCing though.

yeah, a little more info on what's "wrong" would help a lot. Will it not overclock even a single mhz?

You probably need to bump up the voltage if the mobo doesn't automatically - and even then you should probably do it manually since you can likely run it much lower voltage (ie cooler) than the auto setting.

Mine runs perfectly at 3.6 with the stock HSF, with only a small bump in voltage:
