ok i have a old 40gig pATA and i wanna go out and Buy a new Seagate 7200.8 120gig sATA, but i dont want to have to reinstall windows in the process is there any way (espially a free one) to transfer my whole install of windows w/ programs and files from my old HDD to my new one?

set drives to slave
make new, formatted hard drive your active disk with WinXp installed
you should be able to transfer files from new to old

i could be wrong, though

I assume so. Maxtor has the same software, it detects a new hard drive and copies everything over with a pretty easy UI.
