trade 3rd gen 15 gb ipod and $50 for brand new iriver ihp120?

I advise against it. IRiver has serious firmware problems. They promised new firmware in May but so far has broken the promise. Also it's too complicated with features you don't need. I suggest you read as many reviews as you can before you buy or buy from a local place so you can easily return it if necessary.

How much are you selling it for? There are a lot of mp3 players at or below the price of the iriver.

I just ordered a Creative Zen touch 20GB for $221 shipped. I compared Ipod, iRiver, and the Zen Touch (just came out last month) and read quite a lot reviews and decided on the Zen.
