To upgrade or not...

I'm currently debating the idea up upgrading my Athlon xp-m 2400 to an Athlon 64 3000 / 3200. From what I've read it seems that the potential performance differences can either be major or minor depending on what task your doing. I'm not a hardcore gamer, mostly play WoW, Call of Duty and some HL2, otherwise it's just used for normal day to day stuff.

Current Rig is as follows:
Athlon xp-m 2400 clocked at 2.1 Ghz
Abit NF7-S V2
2 x 512 Kingston Hyper-X 4000
BFG 6800 NU

Not sure if the CPU I got is the problem or the motherboard, but the only stable OC on the XP-M I can get is by using multiplier rather than FSB speed. I thought about moving to a socket 754 setup so I wouldn't have to buy a new video card but am really leaning towards a 939 (non SLI) solution for the upgrade path. I tend to keep my machines for a couple years in between upgrades. I would try to OC the A64 at least moderately and probably move up to a 6800GT or comparable GPU. I usually try to get the best bang for the buck and figure I could sell the Mobo / CPU and Vid card if I do go with the A64 system.

Would there be a major difference in overall performance between them you think? Any opinions / advice would be appreciated.

If you're not a gamer then i say not much diff,but myself i upgraded a while back from a mobile XP @ 3200+ speeds (2.2ghz) to a 2800+ @ 2250mhz and I found a big difference in gaming.

all my games were smoother with all the same hardware expect cpu/mobo.

so if you game a bit then yes it's worth it.
