Time for an Upgrade

I?m looking to upgrade my PC.
My current setup.
DFI Lanparty nF4 Ultra-D
AMD Athlon 64 3200+ Winchester (OCed to 2700MHz)
G Skill 2GBHZ 2GB 3-4-4-8
XFX 7800GT
Seasonic S-12 650W
Seagate 7200.8 300GB SATA
NEC ND-3550A
Creative Sound Blaster X-Fi
Antec Solution SLK1650B Case

I?ve been out of the computer scene for about a year now, so I have some catching up to do. I?m thinking about something based around an Intel Core 2 Duo E4300 and nVidia 8800GTS.
I?m really just looking to replace the Motherboard, Processor, RAM and Video Card, everything else I?ll just reuse.

I need some help here. I?m looking for a board that won?t limit my OC, but I also don?t want to break the bank ether. Total price under $150, but if there?s a really good OCing board I might go higher.

RAM

I'm pretty lost when it comes to picking out RAM.

Just grab some Wintec 1GB DDR2 667 sticks, as many as you need, $65/GB at Newegg.

I have a rig like yours and want to upgrade but I am holding off till a few more games come out for DX10 like UT3, Crysis etc when they start then I will upgrade and get the best price for the DX10 stuff.
