CPU: I5 3570k
Memory: 8GB Samsung DDR3-1600 30nm 1.35v
Cooling: Noctua NH-D14

Going to reuse everything else including video for now (Perhaps upgrade that over the summer. Right now I'm comfortable with it at 1920x1200).

Is there anything that I should be concerned about in terms of compatibility etc?

I take it this is for gaming? Your current build sounds like it's pretty good too...

Yep for gaming. I hope the GTX 670 doesn't disappoint because that could be the direction I take for the next video upgrade. The 680 looks nice, but it seems a little much for simply running 1920x1200.

I have a friend who wants to get into PC gaming a bit so he is buying my current system and going to drop a new video card in it. He only has a 8 year old PC with like an 8600GT or something like that. So I figured I'd build up something new and we can swap out his Mobo and everything and drop this in his case.

I'm happy with my system's performance, but now that I have SSDs and don't have SATA III, and my external drive is on crappy USB 2.0 or eSATA on a jmicron controller (ick)...I figure it's time to get the wheels moving on a new build. I was waiting for 6 core CPUs to hit the mainstream before I built anything. I see now that it isn't happening for reasonable prices (anything above $300 on the CPU is too much IMO).
 
The only issue that I see is the mobo. $200 is an awful lot to pay unless you specifically need a feature that the ASUS offers. Something like the ASRock Z77 Extreme4 has all the essentials (plus a little more) and costs $60 less.

I've read more than one horror story of Asrock just not taking the BIOS settings you tell it. Plus, I am familiar with Asus and really like the BIOS flashback feature as well as the Intel NIC. I am not 100% against the asrock, I see a lot of people rocking it solid. I'm just more familiar with Asus as a whole. I've dealt with their RMA department in the past hassle free.

Did consider the Asrock Z77 Extreme6 because it has plenty of ports on the back including eSATA and IEE-1394 which I may use sometime. Have to read up some more before I decide 100%.

I wouldn't buy a D14 myself, a $50 heatsink will take it almost as high. NZXT Havik, Scythe Mugen 3, CM 612. You could also ask Thermalright if they'd send you LGA1155 brackets for the Ultra-120.

I wouldn't buy Asus either, I find it's just too expensive compared to the competition. If you don't want Asrock, there's always Gigabyte. E.g. Z77X-D3H and Z77X-UD3H.

I've dealt with their RMA department in the past hassle free.
That's mostly an irrational reason to prefer it, because there's no reason to assume Asrock RMA wouldn't be hassle free.

ASRock is fine as a whole, every company can make a bad product or have a bad BIOS revision, ASUS included. The Z77 Extreme4 gets you a quality board and proves that you don't have to fork over ridiculous sums of money to ASUS just to get there.
 
I've used Gigabyte in all of my builds, only because they're cheaper than Asus. I keep telling myself I'll use an Asus motherboard but when it comes time to purchase I always cheap out and go for Gigabyte. I think either one would be great, i don't have experience with Asrock but I have heard mixed things about them, from what I've read they aren't the best with overclocking.

I don't know...quite a good number of people are posting up issues with the Asrock Z77 boards having an issue POSTing with a PCIe Video card installed. As for Gigabyte, I read a bunch of reports of random lockups for no reason. Seems to be entirely random, sometimes just freezes in the BIOS.

I dunno...seems like everything has so many problems lol

Really now? I just searched for ASRock Z77 Extreme4 and and Gigabyte GA-Z77X-D3H and there were no bad reviews in the first page of Google hits.

If you really really really want to waste money on a $200 mobo when a $130 will do everything you need, that's fine. Just don't try to justify it on the basis of quality difference, because there isn't one.
