the device cannot find enough resources that it can use

I am running an Opty 165 on an Asus A8V Deluxe with Vista32. I have the latest drivers and bios updates with 2 gigs of corsair value ram. I update the driver, but it still gives the msg the device cannot find enough resources that it can use (code 12).
I also get the error msg on my RAID device and I think the 1394 bus controller
Any thoughts>?
