test for dead cpu

I've run into a big problem, and I'm having difficulty diagnosing the problem. Right now, I'm guessing that my CPU died on me. Can some please verify?
I have the MSI K7T Pro2A mobo with Smart-LED. It indicates that it at least reaches the memory before the whole computer powers down. I'm guessing that it powers down because the CPU fails.
I originally thought my power supply died, so I just went out and bought a new power supply. It turns out that wasn't the solution either. I still get the same problem. I also swapped out the memory with a friend's chip just to make sure that it wasn't the memory that failed.
I was running my Athlon 800 at 9.5x102 at consistent temps 37-41 C. Just check my sig.
Suggestions and verification that we have a case of dead CPU would be helpful.

the only absolute test would be to try the cpu on another system!😱
 
The CPU can't be dead because the machine starts to POST. Try discharging your CMOS and take all the extraneous cards out of your machine and unplug the drives. Try it with the bare requirements; CPU, memory, and video card.
