SYSTEM WON'T STAY ON, need help ASAP please

Here is my problem:
Newly built system keeps turning itself off. I have to unplug and replug the system inorder to turn it on again. After about 2-3mins, systems shuts down again without notice. This is a brand new system with no OS, just put together and trying to install OS...etc.

Specs:
THermaltake Tsunami Case
Antec NEOPOWER 480W power supply
AMD 64 3200+
MSI K8N Platinum 754
1GB Mushkin Level 1 pc3200 DDRAM
ATI 9700PRO 128MB
WD 74GB Raptor - with serial 3
Seagate 200GB 7200.7 - with serial 4
NEC 2510A DVDRW

I can only keep the computer on for about 2-3 mintues then it shuts down. I checked to make sure CPU is not overheating, it shows 42C under H/W monitor via MB. I can enter BIOS setup, but system won't stay on for more than 2-3 minutes. CAn this be a defective MB? PLEASE HELP ASAP. THANKS.
 
The second thing that comes to mind after the CPU overheating is the power supply. If you don't have another power supply you think will power that rig, perhaps you have an older rig you can put the new power supply in to test it.
 
I've had that problem before-- are you using an aftermarket heatsink/fan combo? Sometimes, when you apply the paste that they give you, it doesn't get applied correctly and that can cause what you are talking about.

But the P/S is also a good possibility.
 
If there is no OS, then my first guess would be overheating CPU. Ensure that the heatsink is making firm, flat contact with the CPU. You used a thin coat of thermal grease between the CPU and the heatsink, right?

Also, get your defenses in place against worm attack: suggestions on that
 
A couple of things...

This is a new built, so no dust, no OS, no virus...

CPU temp showing in BIOS as 43C, so I don't think that's it...

I will try the power supply...hopefully that aint it, damn thing cost me $107!

Can this be the MB?

Ooh, yeah...That's a good suggestion
Some motherboards REQUIRE a CPU fan with RPM monitoring, and it has to spin at a certain minimum speed... Perhaps a flaky fan on such a computer would cause it to shut down.

 
I'm going to try the CPU fan thing...I am using the Zalman 7000A CU cooler, and the rpm was around 2300...will try to not use the fan controller and see what happens. Thanks everyone for your input, and I'll update shortly...
