System won't boot

O.K. here goes... I shut down my system one night the next day I went to reboot and it began tp POST then it just stopped. No video, no power on light nothing except the fans were still running. I puhed the power on button again and nothing happend. Since the BIOS didn't load I figured I'd pick up a new motherboard at a local store and just pop it in. Well, it loaded the BIOS and I set it up and hit exit & save settings, the screen went blank. Again nothing except the fans. I rebooted and went back into the BIOS setup, reset the values, exited again. Nothing but the fans. It wouldn't reboot at all after that but, while I was trying to reboot it again I did get a warbling error beep which I think is the CPU temp warning. I'm thinking either power supply or CPU which is a Celeron 400 I had overclocked to 450 for the past year and a half. Thanks in advance for ANY help.
 
first things i would do is reseat ram, video, cpu.

then if that doesn't work, start pulling out other components in the system until u pinpoint the problem. GL!
