system won't boot with cable modem on built in lan card

athlon 1600
boot drive - ibm 36gb 10k scsi on adaptec u160 card
windows xp w/ sp1 all updates as of @ 9/12/ 2003

system will boot normally if cable modem is not connected to built in lan card

if cable modem is connected xp will will offer choice of

last known good - will cause reboot before logon screen
safe mode - will cause reboot after stopping at a repeatable point in the drivers list

device manager does not indicate a problem with the built-in land card

during some reboots xp tried to repair itself by truncating some files and then it would reboot.

I'm currently using the same cable modem to send this message on another system.

What should be done next??
