System is unstable (8IHXP)...please help!

I just upgraded to a Gigabyte 8IHXP, 2.26 CPU, 2x128MB Kingston PC1066 and Maxtor 80gb drive. I wiped the drive clean, installed XP on a 32gb Fat32 Partition and updated all the device drivers (except sound card). Here are my issues/questions.

CPU:
I got the retail package. The heatsink just attaches to the CPU. I didn't do anything special except put the heatsink as is on the CPU. Should this thing be running 41c idle 44c load (case is very well cooled)? If not, did I install this wrong? What should I do?

Unstable:
Just about every time I'm playing RTCW v1.33 Multiplayer it will freeze or gen an error. I'm currently running the latest version of Powerstrip and Nvidia drivers (30.xx). In my previous setup I was able to run my g2 Pro@250/475 with no problems so I dropped it down to 235 to see if that helps. Nope! I'll disable OCing to see if this helps, but don't think this is the problem!

Explorer has crashes sometimes. Is this an indication of something?

Also at one point I think the system rebooted, it flashed a blue screen and then booted.

Misc:
I ran CPUz and the memory shows it's running a 140Fsb. What's up with that? I made sure the memory isn't set to auto. I selected 1066 in the bios.

Also in the device manager I can't get rid of USB Device not installed. Anyone know what this is about?

*Bios has been flashed to the latest (v4).

Thanks in advance. -JC

Okay bud lets see if I can help. USB problem is easy. Goto device manager and double click on the troubling device, then click update driver. Make sure you have your gigabyte cd in the drive. Select your cd rom driver as to where it should look for updated drivers, do this for all the usb and other unknown hardware. Regarding errors, this is because your system is running hot, or because you have something set on a wrong setting. Try clearing cmos, that might help, also try updating bios. Check to make sure all the stuff is set to default or hardware specific settings. Disable crap such as the onboard sound card and other sh@t that they have on board, stuff that you dont use. If this does not help check to make sure you plugged in all the wires from the PSU to the motherboard, actually try this first. Sometimes, new people will plug in just the main board cable and forget the 12v and there is one more cable that needs to be plugged in. Check to make sure your CPU is seated correctly, make sure the fans are all running and also check temps for cpu and system in bios. As long as you are below 50 you are okay. If this does not help then your are SCREWED, try emailing them for more advice.
