System freezes on Win2k bootup - DXR3 and NIC conflict

I am running a dual boot WinME and Win2k system with the following hardware:

ABIT KT7-Raid
Duron 700
IBM ATA100, 7200rpm, 30gig
SB Live Value
An old TNT card
128 meg ram

In addition I am using a 10/100 NIC and a creative labs DXR3 DVD Decoder card. Everything works fine in WinME but in Win2k the system locks as soon as you select Win2k in the boot menu.

The problem is a conflict between the DXR3 and the NIC (tried two NICs a D-Link and an NDC) It will boot with either of the NICs or the DXR3 in place, but will lock with both NICs or the DXR3 and a NIC.

I am using the latest ABIT bios and the VIA 4.28 drivers.

Any ideas?
