Swapping C2Duo CPU on a Dell 9200

I bought a Dell 9200 with a C2Duo E6300 and I bought an OEM E6400 chip from Fry's.

The computer worked fine with the E6300, booted up fine, but when I swap out for the E6400 chip, the HSF goes max speed and makes a noiseand nothing comes up on screen. I swapped back to the E6300 and its back to normal.

I have no idea why it wouldn't work, my best guess is the E6400 is DOA from Fry's. Help?
 
The E6400 has to be DOA, if it won't work in a system that works fine with an E6300. How could it not be?
