Suggestions for upgrade to amd 64

Ok, Ive replaced most of the other parts of my comp piece-by-piece now im thinking hard about stepping up to an AMD 64 processor from my current xp 2800.

I will need 3 things, processor, motherboard, memory (my current memory is some old samsung value 2700 that just doesnt run at 400fsb)

What would be a significant performance upgrade to the xp2800? It seems like the amd 64 2800 really isnt much of a step up, although I could upgrade the processor later on it still seems not worth the investment.

For a budget of $400-600 or so, what would be my most bang-for-the-buck combo of processor, mobo, 1 gig ram?

Edit: Some more info.

1. I'm not a huge overclocker, I prefer stabilty, its not worth it to me to have to deal with additional crashes etc for another couple hundred mhz.

2. I would like to get a mobo with decent (doesnt have to be super hi-fi, just not buggy as all hell as the OB sound on my current asus a7n8x is) onboard sound, I'm happy with my 2.1 setup and really dont hear much of a difference between high-end sound and low end.

3. I wont be running raid, not really of interest to me.

4. This machine is used primarily for 3d gaming and web surfing
 
keep your pc2700..buy more if you don't have a gig. not much of a performance hit from using pc2700 with A64s

then get the Asrock K8S8X and a 2800+ A64 cpu, it will be a nice upgrade. stable, upgradable and a lot less than $400.
