Strange problems with sound.

I decided to build a very cheap system for my friend, he didn't care about playing games, all he basically does is use a system to screw around with the internet and occasionally for a bit of photo editing. I decided that the most cost effecitve system would be on a 810 chipset (yeah I know it leaves a bad taste in my mouth too) running a celeron overclocked to 800. Not a bad deal for under 600 though..
I built the system and everything seemed to work fine. Unfortunetly when i placed the modem in the system the sound quality became poor. Any audio I played crackled when dialing to a ISP or just browsing. I hoped that the modem, which was a crappy PCI lucent winmodem was at fault. I traded it in for a Modem with a onboard chip. Still the problem occured. I hoped that by adding a external soundcard instead of using the onboard would help but it did not either. Any suggestions would be appreciated.
Notes:
Problem with sound only occurs when a modem is present in the system.
I am using a Shuttle 810 133A chipset motherboard with built in AC97 sound and built in video.
I have tried 2 modems one being a winmodem.
I have tried a creative labs soundcard.
I would also like to add that the problem occurs when running at 533 as well.

I admit, I am running WindowsME full retail, but in its defense it has run flawlessly on 6 systems of mine and my friends. i don't think its responsible. only way i know to check is to reformat and install 98 but I was hoping to avaoid that.
 
LUCENT WINMODEMS ARE NOT CRAPPY. They are just as good or better than most hareware modems in most cases with recent drivers. Just wanted to clear that up🙂
 
yeah i figured that, but i am not sure exactly what to do, i have tried 3 different pci slots, no change.
I know in win98 you could select which com port you wanted your modem to run on as well as change resources, i see no option for this in ME.
by the way the lucent winmodem connects at slower speeds than the USR modem i installed.
