Strange GF3 problem

I just installed a Visiontek GeForce3 yesterday and I am having a wierd problem. Everything works fine but when I go to play CS I have problems with my DSL modem. Everything starts ok but when I get into a game the modem won't send out info and even shuts down. I reinstalled the drivers for the modem and reinstalled Half-life and CS but it still wont work right. The only thing I can think is that it might be the ACPI in Win2K. You can see my system rig link for the rest of my info. Anybody have ony ideas?
