Springdale with P4 2.4B

I'm finally getting around to upgrading my computer and have some quick questions. Right now my 2.4B is running on a dell motherboard (845PE Chipset) but since I have a C1 stepping I really want to see what this baby can do. I'm thinking about upgrading to the 865PE chipset but am curious as to whether my 2.4B will be able to take advantage of the chipset and also if I will see any significant improvement in performance other than the obvious ability to overclock. Also if I were to get the 2.4B would It be worth it to get DDR 400 or 433 Memmory even though it would only be coupled with a cpu with a 533 Bus CPU? Thanks in advance.
 
You might see some preformace increase as it will be running in Dual Channel Memory if you get 2 sticks. As for getting ddr400, you could, but the board forces it down to ddr333 on a 533fsb. And like you said there is the obvious overlock potential too.
