depends, if you dont game and just listen to music and mp3's it wont matter, if you game then the live will rock, but the 64's are still good sound cards.
Having gone from AWE32 to Live1024 OEM just because there was no ISA slot in the K7Tpro, I see no reason to upgrade a AWE64 into a Live unless you for some odd reason need EAX support or connection to four speakers. AWE64 is a great card, so is Live1024 OEM (though I hate Creative's guts ). Multiple simulataneous digital audio streams is a nice feature in generic Windows use though.
I've had an Awe64 GOLD for three years now. I can't believe this piece of junk passed for a "pro" sound card in its day. There is so much noise... Can't wait to replace this system with the one I'm currently building with SB Live! MP3 +5.1 dolby digital.
