i got a hold of Intel MS440GX dual Slot 2 CPU capable. But, slot 2 PIII Xeon's are very expensive.

You would need a Slot 1 to Slot 2 adapter, and then an S370 to Slot 1 adapter. The MarlinSpike 440GX is a nice board, but be careful that the BIOS supports S370 processors.
