Smart move or not?

I have an Asus P3B-F which I had already decided to flash the bios, throw in a slotket and go to a Celeron 900. But a buddy offered me $130 Canadian for the mb and P3 450. I can get a Celeron 900 for $85 Can. and a Solteck SL-65EP for $100 Can. Bottom line is I can upgrade to the 900 and a newer mb for about $35 Can. Anybody have any opinions on this move either good or bad. Especially helpful would be feedback on the mb. Please post quick as the prices are boxing day deals at NCIX.com.
