Slow XP machine

I am working on a friend's P4 system and it is running really slow. Here is what I have done so far.

Ran DFT advanced test and it passed
Ran Memtest+ for 5 hours with no issues
Ran chkdsk from an offline CD

When I try to defrag offline, it never starts. I'm wondering if the FAT32 file system on the 160gig drive has something to do with it. Either way, I have tried to convert it to NTFS offline and I'm getting errors. Any ideas on how I can approach this? The system hangs while trying to get into Safe Mode and normal mode runs slowly. I checked for viruses and spyware offline and didn't find anything.
