Should I upgrade my memory from PC2100 to PC3200? Does it have a bottleneck with my Intel 3.0C CPU and will I see a huge performance difference if I upgrade?

Specs:
Abit IC7-G
Intel P4 Northwood 3Ghz(800FSB)
Geforce FX 5700 Ultra(Ill have a 6800 GT in a few days :) )
SoundBlaster Audigy 2
Dual Channel PC2100 1024MB
WD 200GB 7200RPM

Yes definitely upgrade. I didn't even know you could run PC2100 with that setup.

depends what u do and how u define huge. i'd say small different formost things.

He'll have a 6800 GT soon. That tells me he is gaming. Yes, you should be able to notice the difference right off the bat.

It's not going to be huge for normal desktop applications, but you're really choking the system by running the RAM that much slower than the FSB, and it will be noticeable in more memory intensive applications.
