services.exe 100% CPU usage

We'll I just got a minidisc netMD player which forced me to install DirectX 8.0. After installing some software and setting up my ip for an ethernet connection. I have been getting 100% cpu usage by services.exe for 5-6 minutes whenever I attempt to open internet explorer. It totally renders my computer useless for 5-6 minutes! It happens everytime I open IE, not just the first time. This is the ONLY time in which it occurs. I did a net search and couldn't find a solution for this. Any advice?

i have seen a similar problem on an NT4 server machine. the CPU would spike like you describe at odd times thruout the day, sometimes several times a day. it turned out to be a driver issue; after updating every single driver on the system, the problem went away. i suspect the tcp/ip stuff was to blame in my case, because after removing & setting up networking again--the problem didn't reoccur for a week. i still went ahead & updated the all the drivers i could find.
 
Unfortunately, uninstalling TCP/IP and the ethernet card did not work. Does anyone know how to fix this? It is driving me CRAZY!
