Server 2008 > Server 2003 Running exchange comm problem

I have a mostly windows 2003 server environment, but today I get the first 2008 server and begin to stage it when I run into a very odd issue. The 2008 is layer 2 adjacent to the exchange server and when I try to communicate with it I can successfully send and receive 1 icmp packet and then the rest will time out forever. The exchange server can send 1 packet to the 2008 server and then timeout forever. If I stop the ping and wait a few minutes i can again send a single packet and then watch the timouts. I have disabled the built in win2008 firewall to no avail.

This is really starting to bug me, the exchange server communicates with every other machine in the domain, and the 2008 does as well, but for some reason 2008 and exchange will not talk.
