Serial cable question

I am buying a Cisco DSL Modem on eBay which doesn't come with serial management cable, but it needs it in order to flash it with firmware that will work with my ISP. I am planning on making a cable out of serial port(ofcourse I'm gonna buy a cheap mouse and rip it apart rather than buy an expensive connector from RadioShack) and chopped apart straight through LAN cable.

Could serial port operate properly on three conductors?

I am planning on hooking up:

4(cisco)----5(serial)
5(cisco)----3(serial)
6(cisco)----2(serial)

is this going to work?

Cisco's management port uses RJ-45 and pin assignments are as follow:

4. Ground
5. Receive
6. Transmit

DB-9 Serial port:

2. Receive
3. Trasmit
5. Ground
