i have installed retail winxp pro on a system and i am thinking of selling the xp pro. Do I need to sell it with my mb too so that they can activate it again or its transferable to a different system?

You can just resell the Retail version (you have a box, manual and COA) as long as you remove it from your system. By remove, that doesn't mean "upgrade to vista"

How about if you purchased a retail or OEM version of vista? Can you upgrade to preserve your stuff, even though you don't own the XP license anymore?

Grey area?

"Upgrade" is a licensing model. Upgrade with an OEM license, and your XP license isn't tied into the Vista license. You can perform an "upgrade" and then sell the XP Retail license.

If you buy a vista "Upgrade" version, then you CANNOT sell or reuse that XP license, because it's legally tied into that Vista license (hence the lower cost)
