Selling a system on eBay...

I have an old Dell system that was given to me by a friend about a year ago. After receiving it from him, I upgraded its OS from XP Home to XP Pro, and installed Office 2003 on it (both were purchased retail). I have since lost both the CoAs & original disks for XP Pro & Office 2003. Is it legal for me to sell this Dell system on eBay without formatting the hard drive first?
 
Without COAs & discs and no proof that you purchased them you could get in trouble with the buyer and eBay.

Did the Dell come with its restore CDs or a restore partition? If so, use that. Or try to find where the lost discs and COA went to.
 
No, when my friend gave it to me he didn't give me the disks, and it has no restore partition. I'll try to find the CDs or just format the hard drive before trying to sell it. I'd give it back to my friend but he is now in California, hehe.
