Seeking mothorboard recommendations

Looking for motherboard recommendations that satisfy the following:

Price range is $75 - $120
Intel E8400 CPU
2x2GB Corsair PC2 6400 (800) DIMMS
PCIe Video card (GeForce 8600GTS)
At least 4 Sata 3GB/s
At least 4 rear panel USB
At least 2 onboard USB (so 4 front panel USB)
Onboard front panel audio connector
Passive north/south bridge cooling
Support at least 8GB ram
Good onboard audio

I do not plan to overclock, run SLI or CrossFire
Will be running Windows XP for now, might upgrade to Vista or 7 later
Just need a board good for daily use for Internet, gaming, music, etc...

Though, i wasn't impressed with the onboard audio on my UD3P.
It may have just been a funny driver thing or something i somehow missed, but even with volume cranked, it was pretty weak.


Edit: oops, sorry, i am blind & somehow misread about overclocking.

If no OCing, i'd get the Asus P5Q.
