santa cruz not playing nice with win2k

just put in a santa cruz machine starts fine until i install drivers. when drivers are installed it gets hung at that big white win2k screen with the little blue bar. tried the driver install on cd and latest driver install on website, then i extracted the drivers out of the install and tried manually adding the .inf. all with same result, machine works fine when drivers removed, any suggestions?
 
Did you completley uninstall the old sound card drivers?
Are you running any of the latest service packs on the machine IE SP3, wouldn't go to 4 yet heard of some issues
Turn off the on-board sound if one is present?

Thats about all I can think of at the moment
