Retail vs OEM

Is there any difference between a retail and a OEM Intel processor except for the heat sink?

warranty. Its far better to spend the few extra dollars on retail and get the longer warranty. Then just use a different heatsink.

as fredtam said. the cpus will be identical, just the security blanket of the warranty
